I had the same exact problem with the no downshift at kickdown and oddly enough, changing the tranny fluid solved the problem -- don't ask me how/why. It might even be imaginary but I don't think so.

The change was done at 196k on my 300E and it was the second ever tranny fluid change ever for it. (was VERY dirty)
