called him and offered 3500 and he agreed (unwillingly). still going to go on wendsday to get a closer look at it specifically the rust and good point about the panels.

At least from the pics supplied it looks decent enough. Look under all carpet, seats and in trunk for rust!!! Check specifically that the floor connections in the rear for the front seats are not rusted through. Seat can fall through floor pan partially......
