Glad to help, however, your 300TE has a different arrangement for the rear muffler as seen below.

I'd suggest you get rid of the resonator at least. This dumps a considerable amount of weight, gives you a little better flow and produces a good exhaust note without sounding rice. You should be able to have an exhaust shop cut out your resonator and fabricate a Y pipe in its place of it for less than $100. As for the rear muffler, I have no clue. Maybe someone else knows of a performance replacement for the TE. You can also gut the pre-cats by dropping the whole exhaust from the manifolds, cutting them at the pre-cats. Make sure you mark the position first so you can weld them back on correctly. From there get a bunch of destructive tools and start drilling, poking and prying the pre-cat's out of their cavities. Once they are out you can just weld them back on. Now, this is for off road use only, okay... After all that you will end up with a high flow exhaust that will sound cool but not rice. You will get a loud resonant hum at around 2500 rpm that gets annoying at about half pedal but will sound quiet at idle and just fine at highway speeds.

In the diagram, which one is the cat??

I have gotten conflicting info, some saying that the cats are only under the hood, and some saying that the cat is the long thing a 1/3 of the way back on the car...

Both, The pre-cats can be seen under the hood. If you look at the downpipe just after the manifolds you will see a big bulge in the pipe on each downpipe. Those are your pre-cats. The next part in your exhaust is the main cat. from there is the resonator and then the muffler.

I just talked with a guy at the exhaust shop, and he said he would do the Y Pipe for 40 bucks....

He also said to just delete the rear muffler and weld a pipe in its place with just tips like these:

You could do that but it's gonna be loud and sound a little rice. Wouldn't hurt to try it though. I'd suggest you forget the tip for now and just straight pipe it and see how it sounds for a couple weeks. If your happy with it then buy and install the tip. If not you can easily add a muffler without waisting too much cash.

Some 124's don't have pre-cat's from the factory, regarding the rear muffler don't cut it off with out having a good replacement around it will be too loud. The center resonator as noted above is the key thing to remove. I have seen some side in side out mufflers for sale but the TE muffler is an odd shape. The down pipe mod and resonator will make a world of difference. I have removed the resonator on wagons, CE's SEC/SEL and 129's to everyone satisfaction.

Will I still pass California emissions without the precats?

A friend also suggested glasspacks to cut down on the loudness, and to give it a unique sound.....

Depends on where you go to test, early 49 state 124's did not have pre-cat's. Unless the tester know the Mercedes product line and fails the car for a visual the car will pass the dyno no problem. As with any smog test be sure the car is good and hot before testing. The pre-cat was installed for warm up conditions.

Regarding glass packs; I am not a fan of these, they are shrill and most are rather restrictive.

as for the glass packs they can be restrictive but you can get most of the sound dampening out but just putting your hose in the exhaust pipe when the car is good and hot. this will destroy the material and then you can just rev it up to get the excess water out. dont use alot of water just under a gallon or so. make sure the car is running when you put the hose in. this will make it a little loud but the flow will be better. as for passing smog if you remove the cats then i think you will run into problems. you might be able to get away with replacing the cats with high flow cats. hope this is a help. oh and the mufflers just talk to the exhaust shop they should be able to help you with this.
