No, it's a medium tan, not dark.

Yes, it will fit all years W124T.

Includes privacy screen (horizontal) and cargo net (vertical) assembly with mounts (mounts to left seatback, middle seat), plus two clips for rear hatch (horizontal) and four clips for cargo net (vertical). Cargo net can be used in second seat up or down configuration.
