The pad?
Stuck to the metal floor pan on the inside is a 10mm ? tar piece. Paint peeling not a problem here. On the outside, you want to remove any broken undercoating, clean and paint the area. Then you may purchase cheap (aka pep boysautozone etc..) undercoating or you can purchase a Wurth product to duplicate the oirginal appearance-probably with shipping will set you back $15-20.

JC Whitney sells replacement ashphalt sound deadening material -- 29.99 for a 54x32" sheet. I'm using this stuff on my brother's 300D, since his was gone along with the floor, and we had to remove much of what was left for welding. It gets brittle and cracks, and the adhesive wasn't much to start with.
If you still have all the bits, you can try a heat gun to re-attach it, it was heat bonded at the factory. Failing that, get the stuff from JC Whitney, works fine. Peter

If the inner sound deading is falling apart psfred- why not just buy a new one from the dealer? They are only about $20-30. It is *not* heat bonded, but has an adhesive layer. I know both of these to be true, because I purchased a new one for my car. It was an effort to remove oil post oil gauge failure. Michael

When it starts to crack and chip off, it can be re-attached by heating with a heat gun. Ditto for easy removal.
The JC Whitney stuff has a stronger adhesive, and we only needed the rear portions, plus the rear package shelf and some small sections in the front footwell. Either will work, and the factory stuff is easy to get off -- it probably isn't stuck down very well by now, anyway. It also has a honeycomb pattern on the bottom, the JC Whitney stuff is flat. Peter
