Cool Gas to diesel engine swap

I have a 92 TE Wagon that has a bad trenamission and the engine leaks oil. I have a chance to buy a low mileage 95 diesel. How much work is it to swap the engine and trans from the diesel to the TE. I would have both cars sitting side by side. Is this possible, impossible or simply a bolt up operation. Are there any modifications to be made inside the car? Does the differential have the same ratio. I was told by the California DMV that they have no real problems with registering the car after the swap and will exampt the car from smog. Finally is the 95 motor and transmission a good one for longivity and reliability,

How much is the 300 TE engine and trans worth as a core?
