When the car is at operating temp, and i'm at a red light for instance, the moment I hit the gas pedal and take off I hear some sort of weird groan for about 2 seconds, or so, coming from under the front and rear passenger seat side of the car. After the 2 second period the "groan" will go away, not until it comes back again when I come to a complete stop and take off again where the same symptoms arise. What is this "groan" coming from?? And why is it groaning only when I take off from a dead start??

TIA.....

It could be a number of things but, the fuel pump and related hardware is located in that general area. How are the rear suspension bushings?
Just my .02 cents.

Agron,

Our 82 240D did that too. We thought there
was something wrong with the transmission. It turns out that the engine mount on the passenger side was fully collapsed. When you accelerate, the torque of the engine causes the metal bracket if the engine support to rub the chassis. It was a groan. After installing new mounts the problem disappeared. Just a thought.

Just returned from the Mets/Braves game, and while pulling out of the parking lot, the groan was still present. While accerlerating, I put my hand on the rear floor console, where the driveshaft goes through, and this is where the noise can be heard and "felt".

Bushings seem to be fine last time i checked (2,000 miles ago). Fuel Pump--i have no idea. About the motor moount, I think I have only 1 mount in my car not 2. And the motor mount was replaced I believe about 50K miles ago. No rise in the engine when accelerating. I guess I will have to take it in and have it looked at--I hope its not the driveshaft.

I appreciate everyones responses....

Sounds like your exhaust is rubbing and vibrating against the floor pan. Either it's damaged and loose, or a motor mount has given up the ghost. I would check there.. Also, could be the center support bearing for the driveshaft. Known to make noise when failing. Good luck. BTW, the W124 has 2 motor mounts, or so it would appear..
