You would have to change the pan from your old engine to the replacement engine. I changed the engine on my regular W124 last year and that was plenty of work. Being you have a fourmatic, just makes for a little more work. Are you sure it needs to go. They are pretty tough on the bottom end. Maybe it needs a good head job. Is it high mileage? Has it been overheated? I really would try to find out if a head rebuild would solve your problem.
