tight vacuum, transmission slipping, no spring chicken, but still my baby

Am I flogging a dead horse?
It's slipping really bad when cold at this point, but seems to motor along just fine when warm. Took it to a mechanic last month who worked on vacuum (±$450) before diagnosing tranny death. (says there'd have been no other way to come to that conclusion and I had to bite that). He offered to trade me a 1990 Volvo wagon that he's put a bunch of work into and I guess would be a a steal for the $200 he's asking along with my merc! Love my merc, volvo's are OK I guess, but it would cost at the very least, my last 2k, and quite likely twice that - or I could hang on to beast and find another old beater meanwhile - engine's strong, probaly about 350k on the clock (stopped at 255k) new rear axles, fat new tires, etc., probably put around $1500 into it each year for the last 4.
any thoughts !? I guess the volvo is a no brainer, but maybe I'm missing something

Big AT tires on the back, cruising CA coast Hwy 1 and Big Sur mountain roads. Running on B99. Wish she was a stick shift.
97 RAM2500 Cummins affair. Big longass lifted biodiesel thing. Too big. Too spendy - got rid of it. Sure could pull some weight though.
