It will definitely fit, they are the same car. I've always wanted to do that swap with a 3.5L..... UMMMMMM 350D

FWIW, it almost NEVER pays to rebuild a mercedes engine unless you can get parts at wholesale and labor for free. It's not as simple as you may think either. There are literally several "standard" sizes of bearings without even getting into over/under sizes.
