It is really a matter of preference. The '02 is the last year of this model and the second generation 4Matic began in 1998 I believe. I personally don't have a 4Matic but very few posts in this site come up about the new 4Matic meaning there are no issues with it. I recommend using the search feature and using specific words like 4Matic you should be able to come up with enough info to make an educated desicion. The '01 and the '02 are essentially the same car.
