I am afraid that you may be out of luck on Mercedes assuming any liability for a transmission replacement on a (I am assuming)1997 model year with 90k miles for at least the 2nd owner.

Why does the dealer specifically indicate that it needs replaceing for. What kinds of problems has it been giving you?

The 722.6 is a very expensive transmission, but I would shop around a little more before dumping $5300 on a rebuilt.
