Question 04 CLK-320 Elec. Problem

I have an '04 CLK-320. Key hard to turn, when it did turn to start it clicked and the clock started running forward and reverse. No power to anything other than the cluster. Checked the battery it had 12.4 volts, but I replaced it with a new one just due to it's age. Still no start, key does not turn, the high beam indicator comes on. No headlights, or any lights for that matter.

The ground lead on the battery is very warm.

Not sure what the heck is happening. Could be a ground problem? Any help would be great!
