what is right way to buy a car from Calif?

I am buying this old 450SL from Calif.
The owner is giving me a State of California Certificate of Title
and it has * Duplicate * on it, so will that be Ok to get registered?

How to find out if the car owes any money?

ANy info is greatly appreciated.
