722.6 ML320 Transmission replace gilly help!

I have a 2000 ml320 that I bought wrecked in the front with only 6K miles on it. I got a great deal and replaced the front cap and now my wife has been driving it. We have 36K miles on it now and it went into limp home mode. I took it to the dealer here in north houston thinking that only a sensor had gone bad causing this. The dealer tells me 6700.00 to replace the transmission and the trans controller, it is shot. She said that the adaptive has done all it can becuase the transmission has been slipping and the memory is full so the brain has to be replaced as well.. We never really noticed it slipping, occasionally 4 or 5 times when putting into reverse it would still be in nuetral then after a minute it would go into reverse. This only happened a few times. Am I being taken? I have a friend that has a wreking yard in FLA, He is selling me a 02 trans with only 2k on it for 1400.00 and my brother in law haqs a shop and will do the installation. What else will I have to do besides having this new trans installed. Do I need a new brain, programming, I don't want to get too burned.
